Terms of Service

Effective Date: 07/22/2026

1. Parties; Acceptance

1.1 Agreement. These Terms of Service ("Terms") form a legally binding agreement between you ("you," "User") and Rooms4Felons, LLC, a limited liability company with principal place of business at 470 DACULA RD STE 241, DACULA, GA, 30019, USA ("Rooms4Felons," "we," "us," or "Platform"). By accessing or using the Platform or any services offered through it (the "Services"), you agree to these Terms and the Privacy Policy, Community Guidelines, and other policies referenced herein. If you do not agree, do not use the Services.

1.2 Eligibility. You must be at least 18 years old and have authority to enter binding contracts. Organizations must designate authorized representatives. You represent that all information you provide is true, current, and complete.

1.3 Changes. We may modify these Terms. Material changes will be published with an updated effective date and, when required by law, reasonable notice will be provided. Continued use after notice constitutes acceptance.

2. Definitions

2.1 "Host". means a property owner, landlord, property manager, or authorized representative listing accommodation on the Platform.

2.2 "Tenant" or "Applicant". means an individual seeking housing placement using the Platform.

2.3 "Partner". means a third party such as a nonprofit organization, government agency, caseworker, or service provider that refers or supports users via the Platform.

2.4 "Placement". means a successful introduction via the Platform that results in move‑in or a signed tenancy.

3. Scope of Services; Platform Role

3.1 Marketplace Role. Rooms4Felons operates a housing-first placement and retention marketplace connecting Hosts and Tenants and offering intake, matching, screening facilitation, payment facilitation, educational content, and optional supportive services. Except where expressly stated in a separate signed agreement, Rooms4Felons is not the landlord, property manager, broker, or agent of any listing and does not assume landlord responsibilities.

3.2 Commission Model. For every successful Placement facilitated by the Platform, Rooms4Felons, LLC charges a 10% commission to the Tenant and a 3% commission to the Host on the total price of rent (weekly or monthly) collected through the Platform.

3.3 No Guarantee. We do not guarantee that use of the Platform will result in placements, approvals, or specific outcomes (rent levels, lease terms, or retention). Performance metrics are illustrative only.

3.4 Third-Party Services. The Platform may integrate with third‑party services (background-check providers, payment processors, guarantee/insurance partners). Use of those services is governed by their terms and by applicable law.

4. Account Registration; Verification; Security

4.1 Account. To access certain features, you must create an account and provide accurate information. You consent to verification checks and to provide supporting identity documents where requested.

4.2 Security. You are responsible for maintaining the confidentiality of account credentials and for all activity conducted under your account. Notify us immediately of unauthorized access. We cannot and will not be liable for losses caused by your failure to protect credentials.

4.3 Suspension. We may suspend or restrict accounts for suspicious activity, policy violations, or at our discretion for safety reasons.

5. Fees; Payments; Billing; Refunds

5.1 Fees. Use of certain features may require payment of subscription fees, transaction fees, or fees for value‑added services. Fees shall be as posted on the Platform or in a separate signed agreement.

5.2 Payment Processing. Payments are processed by third‑party payment processors. By providing payment information, you authorize the processor and us to charge applicable fees, including the 10% Tenant commission and 3% Host commission on rent. Payment methods are subject to verification.

5.3 Refunds. Refunds are governed by the Refund Policy incorporated herein by reference.

5.4 Collections. Unpaid balances may accrue interest and collection costs to the extent permitted by law.

5.5 Security Deposit Escrow — Required. For every lease created through the Platform, the security deposit set in that lease must be submitted to and held by Rooms4Felons in escrow. Hosts may not request, accept, or hold deposit funds outside the Platform for any Platform-facilitated lease, and doing so is a material breach of these Terms.

5.5.1 Security Deposit — Separate from Rent; Due Before Move-In. For every lease created through the Platform, the security deposit is a separate payment from rent. It is not a rent payment and is not applied toward any rental period. The security deposit is set equal to one full rental period of Base Rent (the same dollar amount as one month's rent for a monthly lease, or one week's rent for a weekly lease), and both Host and Tenant acknowledge and agree to this amount by signing the lease. The security deposit must be paid in full by the Tenant to the Platform and held in escrow before the Tenant takes possession of the Premises (move-in); possession and keys will not be delivered until the deposit has been received. This policy is incorporated into every lease agreement generated through the Platform, and both parties must sign the lease acknowledging the deposit amount and its separate, pre-move-in payment.

5.6 Submission and Collection. The Tenant submits the security deposit through the Platform at lease signing using the Platform's third-party payment processor. The deposit amount is the amount stated in the signed lease. No Platform commission is charged on deposit funds; the deposit is held in full.

5.7 Protection of Funds. While held, deposit funds are maintained in a segregated escrow account by the Platform's payment processor and are not commingled with Rooms4Felons operating funds or used for Platform expenses. The funds remain the property of the Tenant, subject to the Host's lawful claim, throughout the escrow period. The Platform records each deposit's amount, source, lease, and escrow status, and both Host and Tenant can view this status in their dashboard.

5.8 Handling During the Leasing Process. Deposit funds remain in escrow for the duration of the tenancy. The deposit is released to the Host only after the move-in checklist is completed and confirmed by both parties, or as otherwise required by the lease and applicable Georgia law (including O.C.G.A. § 44-7-31 et seq.). If the tenancy never begins — for example, the lease is voided or the Tenant does not move in — the deposit is refunded to the Tenant. At lease end, any deduction for damages, unpaid rent, or other charges must be itemized and documented by the Host, and the remaining balance is returned to the Tenant within the timeframe required by Georgia law.

5.9 Disputes and Records. Disputes over deposit deductions are governed by the lease and Georgia law; the Platform may offer voluntary, non-binding mediation. The Platform retains escrow and release records for each deposit to support transparency and dispute resolution.

6. Screening, Background Checks, and Consent

6.1 Consent. By using the Services you consent to background checks, identity verification, reference checks, and the collection and use of criminal-history and other sensitive personal data as disclosed in the Privacy Policy and any separate screening authorization.

6.2 Compliance. Background-checks and consumer reports will be conducted in accordance with the Fair Credit Reporting Act (FCRA), applicable state law, and any local limitations. You are responsible for complying with legal obligations when using screening reports.

6.3 Accuracy. We rely on third‑party providers for screening. We do not guarantee the completeness or accuracy of third‑party reports.

7. User Conduct; Prohibited Activities

7.1 Compliance. All users must comply with applicable laws and Platform policies (Community Guidelines, Content Policy, Safety Policy).

7.2 Prohibited Conduct. Users must not: (a) engage in discrimination against protected classes; (b) submit fraudulent or misleading listings; (c) misrepresent identity or legal status; (d) attempt to avoid fees or the commission structure; (e) harass other users; (f) transmit malware; (g) solicit unlawful payments; (h) circumvent safety or reporting mechanisms.

7.3 Enforcement. Violations may result in content removal, account suspension, termination, and referral to authorities.

8. Listings, Content and License

8.1 User Content. Users grant Rooms4Felons a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, distribute, publish, and display content they submit for purposes of operating, promoting, and improving the Platform.

8.2 Accuracy. Hosts warrant that listing details are accurate to their knowledge and that they have authority to rent the listed property.

8.3 Moderation. We may remove content that violates policies or terms.

9. Transactions; Third-Party Vendors; Guarantees

9.1 Lease Relationship. Any lease or tenancy agreement is directly between Host and Tenant. Rooms4Felons is not a party to such leases unless explicitly agreed in writing.

9.2 Third-Party Products. Optional guarantees, insurance, and other ancillary services are provided by third-party partners under separate agreements. Rooms4Felons disclaims liability for third‑party performance except as expressly set forth in a written agreement.

9.3 Payment Flow. The Platform facilitates rent and security-deposit payments. All security deposits set in a lease created through the Platform must be submitted to the Platform and held in escrow as described in the Security Deposit Escrow Policy in Section 5.5–5.9; rent is collected with the commissions stated in Section 3.2. Handling of funds is otherwise governed by the lease and applicable law.

10. Disclaimers and Warranties

10.1 No Warranty. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." ROOMS4FELONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

10.2 No Inspection Warranty. Rooms4Felons does not inspect or warrant property conditions or safety except as explicitly stated in a separate statement.

11. Limitation of Liability; Indemnification

11.1 Limitation. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROOMS4FELONS' AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO ROOMS4FELONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US $100). ROOMS4FELONS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

11.2 Indemnification. You agree to indemnify, defend, and hold harmless Rooms4Felons and its managers, members, officers, directors, employees, and agents from all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your breach of these Terms, (b) your violation of law, or (c) your negligent or willful misconduct.

12. Suspension and Termination

12.1 Suspension. We may suspend accounts for policy violations, suspected fraud, or legal compliance reasons.

12.2 Termination. We may terminate accounts for material breaches. Termination does not relieve obligations accrued prior to termination.

12.3 Effect. Certain provisions (intellectual property license, indemnity, limitation of liability, dispute resolution) survive termination.

13. Governing Law; Dispute Resolution; Arbitration

13.1 Governing Law. These Terms are governed by the laws of the State of Georgia without regard to conflict-of-law rules.

13.2 Dispute Resolution. Parties will attempt informal resolution. Except for claims seeking injunctive relief, disputes will be resolved by binding arbitration under the American Arbitration Association (AAA) rules, administered in Atlanta, Georgia, by a single arbitrator. The arbitration award may be entered in any court of competent jurisdiction. Arbitration shall be individual; class, consolidated, or representative actions are prohibited.

13.3 Small Claims. Either party may pursue claims in small claims court in the appropriate Georgia venue.

14. Notices; Contact

14.1 Notices. Notices to Users will be sent via email or in-app notifications. Notices to Rooms4Felons: Rooms4Felons, LLC, 470 DACULA RD STE 241, DACULA, GA, 30019, USA; legal@rooms4felons.com Phone: (770) 273-8454.

14.2 Assignment. You may not assign rights or delegate obligations without our consent. We may assign these Terms in connection with a merger or sale.

15. Miscellaneous

15.1 Entire Agreement. These Terms, together with the Privacy Policy and referenced policies, constitute the entire agreement between you and Rooms4Felons.

15.2 Severability. If any provision is held invalid, remaining provisions remain in force.

15.3 Waiver. Our failure to enforce any right is not a waiver of that right.
